These Terms and Conditions (“Terms”) govern the services provided by BlackVector Derivatives FZCO, a company registered in Dubai, United Arab Emirates (“Company”, “we”, “us”, “our”).
By engaging our services or making payment, the client (“Client”) agrees to these Terms.
1. Nature of Services
The Company provides custom software development and technical consulting services based on client specifications.
Services may include, but are not limited to:
- Web and mobile applications
- Desktop software
- APIs and integrations
- Automation systems
- Data processing tools
- Backend systems
- Infrastructure setup
- Custom-coded technical solutions
All services are delivered digitally unless otherwise agreed in writing.
The Company acts solely as a technology service provider and does not operate, manage, or control the Client’s business activities.
2. No Regulated or Financial Services
The Company does not provide:
- Brokerage services
- Investment management
- Portfolio management
- Financial advisory services
- Custody of funds
- Payment processing services
- Gambling services
- Cryptocurrency exchange operations
The Client is solely responsible for ensuring that their use of the developed software complies with all applicable laws and regulations.
3. Scope of Work
The scope of services shall be defined through:
- Written proposals
- Email confirmations
- Signed agreements
- Or invoice descriptions
Any additional work outside the agreed scope may require additional fees and written approval.
4. Payment Terms
- Fees are payable as specified in the invoice or payment link.
- Payment confirms acceptance of scope and pricing.
- Payments are processed through secure third-party providers.
- Unless otherwise agreed, payments are non-refundable once work has commenced.
5. Delivery and Timelines
Delivery timelines are estimates unless explicitly guaranteed in writing.
The Company is not liable for delays caused by:
- Client’s failure to provide required information
- Third-party service interruptions
- Technical dependencies beyond Company control
- Force majeure events
6. Intellectual Property
Upon full payment:
- Custom-developed deliverables created specifically for the Client become the Client’s property unless otherwise agreed.
- The Company retains ownership of general frameworks, reusable libraries, methodologies, and non-client-specific components.
7. Limitation of Liability
To the maximum extent permitted by law:
- The Company’s total liability is limited to the amount paid for the relevant service.
- The Company is not liable for indirect, incidental, or consequential damages.
- No guarantees are made regarding business outcomes, revenue, performance, or regulatory approval.
All services are provided “as is” unless otherwise agreed.
8. Confidentiality
Both parties agree to maintain confidentiality of non-public information exchanged during the engagement.
9. Termination
Either party may terminate services in writing.
Outstanding payments remain due for work performed.
10. Governing Law
These Terms are governed by the laws of the United Arab Emirates.

Return and Refund Policy
BlackVector Derivatives FZCO provides customized software development services.
1. Customized Services
Due to the nature of customized digital services:
- Payments are non-refundable once work has commenced.
- Completed milestones are non-refundable.
2. Pre-Work Cancellation
If cancellation occurs before development begins, refunds may be issued at our discretion, minus processing fees.
3. Dispute Resolution
Clients agree to contact us directly before initiating chargebacks or payment disputes.
We aim to resolve concerns professionally and in good faith.
4. No Performance Guarantees
We do not guarantee:
- Financial results
- Regulatory approval
- Commercial success
Software is delivered according to agreed technical specifications.
